Instructor Terms and Conditions

1. Introduction

This agreement (“Agreement”) governs the relationship between Nexus Oil Field Services (Nexus OFS) and the Instructor (“Instructor”) who wishes to deliver training courses via Nexus OFS’s platform. This Agreement applies solely to individual persons acting as Instructors. 

If a company, university, or any other organization wishes to register as an Instructor, additional terms and conditions may apply. These terms will need to be discussed and agreed upon separately with Nexus OFS before registration can proceed. In such cases, Nexus OFS reserves the right to establish and negotiate specific conditions tailored to the organizational entity’s needs. 

These Terms and Conditions outline the responsibilities, rights, and obligations of Instructors who collaborate with Nexus OFS to develop and deliver various types of trainings, including: 

        • Web-Based Pre-Recorded Trainings 
        • Virtual Instructor-Led Trainings (VILT) 
        • Hybrid Trainings (Combination of Web-Based and VILT) 
        • Classroom Trainings 

By agreeing to these Terms and Conditions, the Instructor acknowledges and accepts all clauses mentioned herein. 

 2. Scope of Collaboration

        • Instructors will develop and deliver training courses as agreed with Nexus OFS. 
        • Courses may be delivered through Nexus OFS’s Learning Management System (LMS) or at physical venues coordinated by Nexus OFS. 
        • Instructors must ensure accuracy, relevance, and high-quality educational standards in all materials provided. 

3. Intellectual Property Rights

        • Instructors retain ownership of the content they create. 
        • By submitting content, Instructors grant Nexus OFS a non-exclusive license to use, reproduce, distribute, and promote the course. 
        • Nexus OFS may edit or enhance course materials to comply with branding guidelines or improve educational quality. 

4. Payment and Revenue Sharing

4.1. Revenue Share Model: 

        • Instructors will receive the following revenue shares for each type of training: 
        • Online Web-Based Trainings: 70% Instructor / 30% Nexus OFS 
        • Hybrid Trainings: C 70% Instructor / 30% Nexus OFS 
        • Classroom Trainings: will be disused and agreed 

4.2. Course Management Fees: 

        • For web-based courses managed through Nexus OFS’s Learning Management System (LMS), a 1% administration fee will be charged. 
        • This fee covers video material hosting, editing, and administrative management. 
        • The 1% fee will be deducted from the total course amount, and the remaining balance will be distributed as per the revenue share model mentioned above. 

5. Discounts and Promotions

        • Nexus OFS reserves the right to issue discounts on courses to promote sales occasionally. 
        • These promotions may be part of marketing campaigns, seasonal offers, or strategic sales initiatives. 
        • Instructors will be informed in advance of any discounts applied to their courses. 
        • Discounted sales will not affect the revenue-sharing model, and the percentage split will be applied to the discounted amount. 

6. Membership Programs and Discounted Access

6.1. Membership Programs Overview: 

        • Nexus OFS may establish yearly or monthly membership programs designed for corporate clients or university students, providing free or discounted access to some or all trainings. 

6.2. Instructor Participation: 

        • Nexus OFS will discuss potential benefits of including courses in the membership programs with the Instructor. 
        • Participation is optional, and the Instructor has the right to accept or decline the inclusion of their courses in these programs. 

6.3. Revenue Sharing and Compensation: 

        • If an Instructor’s course is included in a membership program, the revenue-sharing model will be transparently communicated and mutually agreed upon. 
        • Adjustments to the revenue share will reflect the discounted or free access terms, ensuring fair compensation for the Instructor. 

7. Course Development and Submission

        • Instructors are responsible for developing high-quality educational content in their area of expertise. 
        • All submitted content will undergo a review process to ensure compliance with Nexus OFS standards and policies. 
        • Instructors must ensure that all materials provided are original and free from plagiarism. 
        • Any third-party content used must have the necessary permissions and credits. 

8.Content Review and Ethical Standards

8.1. Content Review Process: 

        • All course content submitted by the Instructor will be reviewed to ensure that it meets Nexus OFS’s quality standards, ethical guidelines, and policies. 
        • The content must comply with data privacy regulations and digital piracy laws to avoid any legal or reputational issues for both Nexus OFS and the Instructor. 

8.2. Compliance and Legal Responsibility: 

        • Instructors must ensure compliance with data privacy laws and digital piracy regulations. 
        • Any breach will result in the immediate removal of the content and potential legal consequences. 

8.3. Ethical Standards and Content Restrictions: 

        • Nexus OFS reserves the right to refuse to publish or delete any course content that contains: 
        • Unethical content, including misleading information or promotion of illegal activities. 
        • Discriminatory material or content with offensive language. 
        • Instructors are required to maintain a respectful and inclusive tone in all training materials. 

8.4. Instructor’s Language Proficiency: 

        • Nexus OFS is an international company with a global reach, and as such, all courses must be delivered in Englishor have English subtitles to ensure accessibility for a diverse audience. 
        • Instructors must have sufficient English language skills to clearly deliver their course content in English, ensuring that the material is easily understood by students worldwide. 
        • If Nexus OFS determines that the Instructor’s language skills do not meet the necessary standard for clear communication in English, Nexus OFS reserves the right to cancel the agreement or refuse to publish the course material. 

8.5. Delivery or Recording in Other Languages: 

        • If the Instructor wishes to deliver or record the course in a language other than English, this must be agreed upon in advance with Nexus OFS. 
        • The Instructor will need to ensure that the translated or non-English content meets the same quality standards and compliance as the English language course, and any additional language considerations (e.g., subtitles or translations) must be discussed prior to course publication. 

8.6. Content Review and Compliance with Standards: 

        • All course content submitted by the Instructor will be reviewed to ensure that it meets Nexus OFS’s quality standards, ethical guidelines, and policies. 
        • The content must comply with data privacy regulations and digital piracy laws to avoid any legal or reputational issues for both Nexus OFS and the Instructor. 

9. Cancellations and Refunds

9.1. Instructor Cancellations: 

        • Instructors must provide a minimum notice of 14 days for any cancellations. 
        • Repeated cancellations may result in a review of collaboration and potential removal from the platform. 

9.2. No-Show Policy: 

        • Instructors who fail to appear for scheduled live sessions without notice will forfeit their revenue share for that session. 
        • Repeated no-shows may lead to termination of the partnership. 

10. Confidentiality and Data Privacy

        • Instructors must maintain the confidentiality of student data and adhere to all applicable data privacy regulations. 
        • Any data breach or misuse of personal information may result in legal actions and termination of the partnership. 

11. Termination of Agreement

        • Either party may terminate the agreement by providing a 30-day written notice. 
        • Nexus OFS reserves the right to terminate the agreement immediately in case of: 
        • Breach of intellectual property or ethical standards. 
        • Violation of data privacy regulations. 
        • Upon termination, all course materials will be removed from the platform unless otherwise agreed. 

12.Liability and Indemnification

        • Instructors are solely responsible for the accuracy and legality of their content. 
        • Nexus OFS will not be held liable for any claims, damages, or losses resulting from the use of the content. 
        • Instructors agree to indemnify and hold harmless Nexus OFS from any legal claims arising from copyright infringement, defamation, or other legal issues related to their content. 

13.Governing Law and Dispute Resolution

        • These Terms and Conditions are governed by the laws of the United Arab Emirates. 
        • Any disputes arising from this agreement will be resolved through negotiation and mediation. 
        • If no resolution is reached, disputes will be settled in the courts of the United Arab Emirates. 

14. Amendments and Updates

        • Nexus OFS reserves the right to update or modify these Terms and Conditions at any time. 
        • Instructors will be notified of any changes through email or the platform’s notification system. 
        • Continued participation in the platform implies acceptance of the updated Terms and Conditions. 

15. Course Cost

15.1. Instructor’s Right to Set Course Pricing: 

        • Instructors have the right to determine the cost of their courses independently. 
        • Instructors may adjust the price of their course over time, as long as the new price is communicated clearly to Nexus OFS and potential customers. 

15.2. Course Duration Requirement: 

        • In order for a course to be classified as a paid course, the total length of the course must be more than 1 hour. 
        • Courses shorter than 1 hour will not be eligible for the revenue-sharing model and cannot be charged. 

15.3. Recommendations from Nexus OFS: 

        • Nexus OFS may provide recommendations on course pricing based on knowledge of the market, demand, and competitor analysis. 
        • These recommendations are not binding, but they are designed to help instructors make informed decisions about the pricing of their courses. 

15.4. Free Access to Courses: 

        • If the Instructor wishes to grant free access to their course for specific individuals, groups, or corporate clients, this must be discussed and agreed upon with Nexus OFS. 
        • Nexus OFS will assess the implications of free access on the overall business model, and the Instructor will be informed of any potential impacts on the revenue-sharing arrangement. 

16. Payments

16.1. Payment for Web-Based Recorded Courses: 

        • Payments for web-based pre-recorded courses will be transferred to the Instructor’s bank account within 2 weeks following a student’s purchase of the course. 

16.2. Payment for Virtual Instructor-Led Trainings (VILT): 

        • Payments for VILT courses will be transferred to the Instructor’s bank account within 7 days of the completion of the course. 

16.3. Payment for Classroom-Based Trainings: 

        • Payment for classroom-based trainings will be discussed and agreed upon specifically for each event. The agreed payment terms will be outlined in a separate agreement between the Instructor and Nexus OFS. 

16.4. Bank Transfer Fees: 

        • Nexus OFS is not responsible for any bank transfer fees or charges that may be deducted by the Instructor’s bank during the payment process. 
        • It is the Instructor’s responsibility to account for these fees when calculating the net amount they will receive. 

16.5. Payment Method Setup: 

        • Instructors must set up a payment method in their Nexus OFS instructor dashboard. 
        • Instructors are required to request a withdrawal based on the payment conditions stated above. Withdrawals can be requested once the appropriate conditions (e.g., course purchase or completion) have been met. 

17. Acceptance of Terms

By registering as an Instructor with Nexus OFS, you acknowledge and agree to all the terms and conditions stated in this document. Your registration and participation on the platform are subject to these Terms and Conditions (TOR), and by submitting your course materials or delivering training, you affirm your acceptance of these terms.
